TERMS OF SERVICE
Welcome to Clipps. The terms “we”, “us”, and “our” refer to Clipps.
Clipps operates this website and webshop, including all related information, content, features, products, and services (the “Services”). Our webshop is technically hosted and supported by Shopify, enabling us to provide our Services to you.
These Terms of Service (the “Terms” or “Service Terms”), together with all policies referenced herein, describe your rights and obligations when using our Services.
We encourage you to read these Terms carefully, as they contain important information regarding your rights and obligations, including applicable statutory consumer rights that cannot be excluded.
By accessing or using our Services, you agree to these Terms of Service and our Privacy Policy.
SECTION 1 – ACCESS AND ACCOUNT
By using our Services, you represent that you have reached the legal age of majority in your country of residence. If you are a minor, you may only use the Services under the supervision and with the consent of a parent or legal guardian.
To use our Services, including placing an order, you may be required to provide certain information such as contact and payment details. You agree to provide accurate, complete, and up-to-date information and to update such information when necessary.
You are responsible for maintaining the confidentiality of your account credentials and for all activities conducted through your account. You may not transfer or make your account available to third parties without authorization.
SECTION 2 – OUR PRODUCTS
We have made every effort to display and describe our products and services as accurately as possible. Colors, contrasts, and the general appearance of products may vary depending on the user’s screen, device, and settings. These differences may result in the on-screen display not exactly matching the physical product.
Our eyewear, optical frames, and accessories (including sun clips) comply with applicable European regulations regarding product safety and conformity.
Minor variations in color, finish, or dimensions that fall within normal commercial and manufacturing tolerances shall not be considered a lack of conformity.
Nothing in this section affects your statutory rights as a consumer, including the legal two (2) year conformity guarantee within the European Union.
All product descriptions, specifications, and prices may be modified at any time. We reserve the right to temporarily or permanently discontinue products or limit available quantities.
SECTION 3 – ORDERS
When you place an order through our webshop, you make a binding offer to purchase. The agreement is only concluded once we expressly accept your order through an order confirmation sent by email.
We reserve the right to refuse or cancel orders for objective reasons such as stock issues, pricing errors, or suspected fraud. In such cases, you will be informed as soon as possible.
Payment must be fully processed before the order is confirmed and shipped.
The 14-day right of withdrawal for consumers within the EU remains fully applicable in accordance with applicable legislation.
Returns and refunds are handled in accordance with our Return Policy, without prejudice to your statutory rights.
Purchases are intended solely for personal use and not for commercial resale without authorization.
SECTION 4 – PRICING AND BILLING
All prices, discounts, and promotions displayed on our webshop may be changed at any time without prior notice.
The price applicable to an order is the price in effect at the time the order is completed and as confirmed in the order confirmation email.
Unless expressly stated otherwise, all prices include VAT and exclude shipping costs and any additional charges. These costs will be clearly displayed before you complete your order.
We reserve the right to offer promotions and temporary offers subject to specific conditions. In the event of any conflict between promotional terms and these Terms of Service, the promotional terms shall prevail.
You agree to provide accurate, complete, and current payment and billing information and to update such information when necessary.
By placing an order, you confirm that you are authorized to use the selected payment method and that all charges may be validly processed.
Nothing in these provisions affects your statutory rights as a consumer under Belgian and European law.
SECTION 5 – SHIPPING AND DELIVERY
We aim to process and ship orders within the indicated timeframes. Delivery times are indicative only and do not constitute a binding obligation of result unless expressly agreed otherwise.
In accordance with European consumer legislation, orders shall in any event be delivered no later than thirty (30) days after order confirmation, unless a different delivery period has been expressly agreed upon.
We are not liable for delivery delays caused by third parties or circumstances beyond our reasonable control, including but not limited to carrier delays, customs procedures, strikes, weather conditions, or other force majeure events.
In the event of a significant delay, we will inform you as soon as reasonably possible. If delivery proves impossible within a reasonable period, you have the right to terminate the agreement free of charge and receive a full refund.
Ownership of the products transfers to you upon full payment.
The risk of loss or damage to the products transfers only when you, or a third party designated by you other than the carrier, physically receive the products, in accordance with applicable European consumer legislation.
SECTION 6 – INTELLECTUAL PROPERTY
All content available through our webshop and Services, including but not limited to trade names, trademarks, logos, texts, images, graphic elements, product descriptions, audio and video materials, software, databases, and the selection, structure, and arrangement thereof, is owned by Clipps or its licensors and is protected under applicable Belgian, European, and international intellectual property laws, including copyright, trademark, and database rights.
These Terms of Service grant you a limited, non-exclusive, non-transferable, and revocable right to use the webshop and its content solely for personal and non-commercial purposes, including browsing information and placing orders.
Except with the prior express written consent of Clipps, you may not copy, reproduce, modify, distribute, publish, sell, rent, reuse, or otherwise exploit any content from the webshop, in whole or in part, except as expressly permitted under mandatory law or statutory exceptions.
Nothing in these Terms of Service shall be interpreted as transferring any intellectual property rights or granting any license other than the limited right of use expressly provided above.
All rights not expressly granted to you remain fully reserved by Clipps.
The name “Clipps”, its logo, product names, designs, and slogans are protected trademarks or registered trademarks of Clipps or its licensors and may not be used without prior written permission.
All other trademarks, product names, logos, and brand names appearing on the webshop remain the property of their respective owners and are used solely for identification purposes.
SECTION 7 – OPTIONAL TOOLS
Our webshop may provide access to third-party tools, functionalities, or services. These tools are provided solely for your convenience.
We have no control over these third-party tools and are not responsible for their content, operation, availability, security, or performance. Your use of such tools is entirely at your own risk.
To the maximum extent permitted by law, these tools are provided “as is” and “as available”, without any express or implied warranties or guarantees.
When using third-party tools, you are responsible for reviewing and accepting the applicable terms and privacy policies of the relevant third-party provider.
We may introduce new features, services, or tools to our webshop at any time. Unless expressly stated otherwise, such additions form part of the Services and are subject to these Terms of Service.

To the extent permitted by law, we shall not be liable for any direct or indirect damage arising from the use of or reliance on third-party websites, products, services, or content.

SECTION 9 – RELATIONSHIP WITH SHOPIFY
Clipps is powered by Shopify, which enables us to provide the Services to you. However, all sales and purchases made in our Store are concluded directly with Clipps.
By using the Services, you acknowledge and agree that Shopify is not responsible for any aspect of any sale between you and Clipps, including any injury, damage, or loss arising from products or services purchased.
You hereby expressly release Shopify and its affiliates from all claims, damages, and liabilities arising out of or related to your purchases and transactions with Clipps.
SECTION 10 – PRIVACY POLICY
All personal data collected through our Services is processed in accordance with applicable data protection laws, including the General Data Protection Regulation (GDPR).

Our webshop is hosted by Shopify. In this context, Shopify may process personal data related to your use of the Services, particularly to ensure the technical operation, security, and improvement of the webshop.

We reserve the right, without obligation, to monitor, refuse, modify, or remove Feedback that violates the law, these Terms of Service, or public decency.
You remain solely responsible for the content and accuracy of the Feedback you provide.
We are not liable for Feedback posted by users or third parties, except where required by law.

SECTION 12 – ERRORS, INACCURACIES, AND OMISSIONS
Although we strive to keep all information on our webshop accurate and up to date, certain information may occasionally contain typographical errors, inaccuracies, or omissions relating to product descriptions, pricing, promotions, shipping costs, delivery times, and availability.
We reserve the right to correct such errors, inaccuracies, or omissions at any time and to modify or update information accordingly.
If an error affects an order already placed, we will inform you as soon as reasonably possible. In such a case, you have the right to confirm the order under the correct conditions or cancel it free of charge and receive a full refund.
We will not process orders based on manifestly incorrect information containing a material error, such as an obvious pricing mistake.
Nothing in this provision affects your statutory rights as a consumer under applicable Belgian and European law.
SECTION 13 – PROHIBITED USE
You may use our Services only for lawful purposes and in accordance with these Terms of Service.
You are prohibited from using the Services, directly or indirectly, for purposes that are:

(b) in violation of applicable laws and regulations, including Belgian and European legislation;

(d) harmful to Clipps, its employees, customers, or other users, including through harassment, abuse, defamation, or threats;
(e) misleading or false;
(f) inconsistent with these Terms of Service;
(g) involving unsolicited commercial communications such as spam or unauthorized promotions;
(h) impersonating another person or entity or otherwise misleading regarding your identity;
(i) interfering with or restricting the normal use of the Services by other users.
In addition, you agree not to:
(a) distribute viruses, malware, or other harmful code;
(b) copy, reproduce, sell, or exploit any part of the Services without authorization;
(c) collect or process personal data of other users without a valid legal basis;
(d) use the Services for phishing, hacking, or other fraudulent activities;
(e) use automated systems such as bots, scrapers, or similar tools to access the Services without prior authorization;
(f) circumvent or interfere with security measures or access restrictions.
We reserve the right to take appropriate measures in the event of a breach of these provisions, including suspending or terminating your access to the Services without prior notice and without prejudice to any other legal rights.

14.2 The use of Agents is permitted only with the prior written authorization of Clipps. Without such authorization, it is prohibited to use automated means to access the Services, collect data, or perform interactions.
14.3 Where the use of an Agent has been expressly authorized, such Agent must:
(a) clearly identify itself as an automated system;
(b) comply with all applicable laws and regulations, including data protection and electronic communications rules;
(c) not circumvent measures intended to limit or secure access to the Services;
(d) not impair the operation, security, or integrity of the Services.
14.4 We reserve the right to restrict, block, or terminate the use of Agents, including through technical measures, if we determine that they violate these Terms of Service or pose a risk to our Services, users, or infrastructure.
SECTION 15 – TERMINATION
We reserve the right to restrict, suspend, or terminate this agreement or your access to the Services (in whole or in part) at any time if you breach these Terms of Service or where reasonably necessary to ensure the security, integrity, or proper functioning of the Services.
In the event of termination, you remain liable for all outstanding amounts relating to orders placed prior to the termination date.
Termination does not affect rights and obligations already accrued, nor your mandatory statutory rights as a consumer under applicable Belgian and European law.
Provisions that by their nature are intended to survive termination shall remain applicable, including but not limited to provisions relating to intellectual property, liability, indemnification, data protection, and governing law.
SECTION 16 – DISCLAIMER OF WARRANTIES
The information provided through our Services is intended for general informational purposes only. While we strive to provide accurate and current information, we cannot guarantee that all information is complete, accurate, or up to date.
Any reliance on such information is at your own risk. To the extent permitted by law, we shall not be liable for damages arising from the use of or reliance on such information.
Nothing in this provision affects mandatory consumer rights, including the statutory guarantee of conformity for products under applicable Belgian and European legislation.
To the maximum extent permitted by law, the Services are provided “as available”.
While we aim to provide the Services properly and without interruption, we cannot guarantee that the Services will always be available, secure, error-free, or uninterrupted.
To the extent permitted by law, we disclaim all non-mandatory warranties except those required under applicable law.
Important: Nothing in these Terms of Service excludes or limits statutory consumer rights, including:
- the legal guarantee of conformity for goods (minimum 2 years within the European Union);
- the right to delivery of goods that conform to the agreement;
- any other mandatory consumer rights under Belgian and European law.
SECTION 17 – LIMITATION OF LIABILITY
To the extent permitted by law, Clipps’ liability for damages arising out of or related to the use of the Services or the purchase of products shall be limited to direct and foreseeable damages.
To the extent permitted by law, Clipps shall not be liable for indirect damages, including but not limited to loss of profits, loss of revenue, loss of data, loss of savings, or other consequential damages.
This limitation of liability applies regardless of the legal basis of the claim (contractual or non-contractual), insofar as permitted by applicable law.
Nothing in these Terms of Service excludes or limits Clipps’ liability for:
- death or personal injury caused by negligence;
- fraud or intentional misconduct;
- breach of mandatory legal obligations;
- non-conformity of delivered products under European consumer legislation;
- any liability that cannot legally be excluded or limited.
To the extent permitted by law, Clipps’ total liability shall in any event be limited to the amount paid by you for the relevant product or service giving rise to the damage.
SECTION 18 – INDEMNIFICATION
You agree to indemnify and hold harmless Clipps against all reasonable damages, costs, and expenses arising from your breach of these Terms of Service or your unlawful use of the Services.
This indemnification obligation applies only insofar as the damage results from your fault, negligence, or non-compliance with applicable laws or these Terms of Service.
If a third party brings a claim covered by this indemnification, we will notify you within a reasonable timeframe.
You agree to reasonably cooperate in the defense of such claims, including by providing relevant information or documents.
Nothing in this provision affects your mandatory statutory rights as a consumer and it shall apply only to the extent permitted by law.
SECTION 19 – SEVERABILITY
If any provision of these Terms of Service is held to be invalid, void, or unenforceable in whole or in part, the validity and enforceability of the remaining provisions shall not be affected.
The relevant provision shall be replaced or interpreted in a manner that most closely reflects its original purpose, in accordance with applicable law.
SECTION 20 – WAIVER; ENTIRE AGREEMENT
Any failure by Clipps to exercise or enforce any right or provision of these Terms of Service shall not constitute a waiver of such right or provision.
These Terms of Service, together with all policies and guidelines referenced herein, constitute the entire agreement between you and Clipps regarding the use of the Services and supersede all prior or contemporaneous agreements, communications, or proposals, whether oral or written.
In the event of ambiguity regarding the interpretation of any provision, such provision shall be interpreted in accordance with applicable law and with due regard for consumer rights.
SECTION 21 – ASSIGNMENT
You may not assign this agreement or any of your rights or obligations under these Terms of Service, in whole or in part, without our prior written consent.
We reserve the right to assign these Terms of Service and the rights and obligations arising therefrom to a third party, for example in connection with a transfer of business activities or a reorganization, provided that this does not adversely affect your consumer rights.
SECTION 22 – GOVERNING LAW AND COMPETENT COURTS
These Terms of Service and all agreements between you and Clipps shall be governed by and interpreted in accordance with Belgian law.
In the event of a dispute, the competent courts of Belgium shall have exclusive jurisdiction, without prejudice to the consumer’s right to rely on mandatory provisions of the law of their country of residence within the European Union.

The headings used in these Terms of Service are included for convenience only and shall not affect the interpretation or scope of the provisions.

We reserve the right to modify or supplement these Terms of Service, for example for legal, technical, or operational reasons.
In the event of material changes affecting your rights or obligations, we will notify you in a clear and reasonable manner in accordance with applicable law.
The amended Terms shall become effective on the date specified in the notice.
If you continue to use the Services after the changes take effect, this will be considered acceptance of the amended Terms, insofar as legally permitted.
